Terms and conditions
These terms explain how I work with you, from quotes and payment to ownership of the work. Please read them before accepting a quote.
Part 1: Working with me
1. About these terms
These terms apply to all work I carry out for you. “I”, “me” and “my” mean Kirsty Henderson, a sole trader based in Buckland Monachorum, Devon (www.kirstyhenderson.co.uk). “You” means the business or organisation I am working for.
You can contact me by email at hellokirstyhenderson@gmail.com, or call or text 07519 006138.
These terms, together with your accepted quote, form our agreement. If anything in a quote differs from these terms, the quote takes priority.
2. Quotes and agreement
Quotes are valid for 30 days from the date issued. Our agreement starts when you accept a quote in writing (email is fine) and, for one-off projects, pay the deposit.
By accepting a quote, you confirm that you have read and agree to these terms.
The quote sets out the work included. Anything outside it will be quoted separately before I start.
3. Fees and payment
Unless stated below, invoices are due within 14 days of the invoice date, by bank transfer to the account shown on the invoice.
One-off projects need a 50% deposit before work starts. The balance is invoiced on completion.
Monthly packages are invoiced at the end of each month and are due within 7 days, unless we agree otherwise.
4. Late payment
I will send a reminder if an invoice is overdue. If it is more than 14 days overdue, I may pause work until it is paid. Deadlines affected by the pause will move accordingly.
I reserve the right to claim statutory interest and fixed-sum compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Monthly packages
Monthly packages have no minimum term. Either of us can end a package by giving one calendar month’s notice in writing.
Work continues as normal during the notice period and is invoiced as usual. Unused hours or posts do not carry over to the next month and are not refunded.
6. Cancelling a one-off project
You can cancel a one-off project at any time by telling me in writing. The deposit is non-refundable, as it covers my time booked for your project.
If the work completed is worth more than the deposit, I will invoice the difference at the rates in your quote.
7. Revisions
Reasonable revisions to the agreed work are included at no extra cost. I want you to be happy with the result.
Revisions that change the agreed brief, add new work, or come after you have approved the work will be quoted before I make them. I will always tell you before any extra charge applies.
8. Your responsibilities
To keep work on schedule, you agree to:
- supply content, images, logins and approvals when requested
- check work for accuracy before approving it, including names, prices, dates and contact details
- confirm you own or have permission to use any material you send me
- make sure your products, services and claims comply with the law and platform rules
If information or approvals are late, deadlines will move accordingly.
9. Advertising spend and third-party costs
Advertising spend on Meta, Google or other platforms is not included in my fees. You pay it directly to the platform using your own payment method.
Other third-party costs, such as printing, domains, hosting, software subscriptions or stock images, are paid by you. I will agree any such costs with you in advance.
I cannot guarantee results from advertising or marketing, as these depend on factors outside my control.
10. Ownership of work and portfolio use
Ownership of the work I create for you passes to you once all related invoices are paid in full. Until then, it remains mine.
I keep ownership of my own templates, processes and know-how, and of any draft ideas you did not choose.
I will only show your work in my portfolio, website or social media with your permission.
11. Confidentiality and data protection
I will keep your business information confidential and only use it to carry out the work agreed. This does not apply to information that is already public.
Any personal data you share with me, such as customer or member details, will be handled in line with UK GDPR and the Data Protection Act 2018. I will only use it for your work and will delete or return it when our agreement ends.
Logins you give me will be stored securely. Please change passwords when our work together ends.
12. Limitation of liability
My total liability to you is limited to the fees you paid me for the work in question over the previous three months.
I am not liable for indirect losses, such as lost profit, lost sales or lost opportunities. I am also not liable for problems caused by third-party platforms, such as Meta, Google or website hosts, including account suspensions or changes to their rules.
Nothing in these terms limits liability that cannot be limited by law.
I hold professional indemnity and public liability insurance. Certificates are available on request.
13. General
I may update these terms from time to time. Changes will not affect work already agreed unless we both agree in writing.
If we disagree about anything, we will try to resolve it by talking first. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Part 2: Buying resources
This part applies when you buy a downloadable resource (such as a template or toolkit) from this website, whether you buy for yourself or for a business. Part 1 doesn’t apply to these purchases, and nothing here affects your legal rights as a consumer.
14. Ordering and payment
- Prices are in pounds sterling. I’m not VAT registered, so no VAT is added.
- Resources are for customers in the UK only. If an order comes from outside the UK, I’ll refund it in full.
- Payments are handled securely by Stripe. I never see or store your card details.
15. Your download
Once you’ve paid, you can download your PDF straight away, and I’ll email you a link too. The link lasts 30 days and works for up to 5 downloads, so please save a copy. If you lose it, you can get it sent again within those 30 days.
16. Your right to cancel
Normally you have 14 days to cancel an online purchase. Because these are digital downloads that you get straight away, you’ll be asked at checkout to agree to that, and to confirm you understand that you then lose your right to cancel. This is allowed under the Consumer Contracts Regulations 2013.
This doesn’t affect your other rights. If a file is faulty or isn’t as described, get in touch and I’ll replace it or refund you, as the Consumer Rights Act 2015 requires.
17. Using what you buy
- Each purchase is a personal licence for you, or for use within your own business or organisation.
- Please don’t share, resell, publish or give away the files, or pass on your download link.
- Each copy is marked with the buyer’s name, email and order number.
- I keep the copyright in the resources.
Part 3: Privacy
This explains how I use personal details collected through this website. I handle them in line with UK GDPR and the Data Protection Act 2018. Section 11 covers personal data you share with me as a client.
18. What I collect and why
- Contact form: your name, email and message, used only to reply to you.
- Buying a resource: Stripe collects your name, email address, billing address and payment details. I use your name and email to send your download and answer questions about your order.
- Visits: this website uses Vercel Web Analytics to count visits. It doesn’t use cookies to track you.
19. Who else is involved
Payments are processed by Stripe, emails from this website are sent using Resend, and the website is hosted by Vercel. Each only handles your details to provide that service. I don’t sell your details, and I won’t add you to a mailing list without asking.
20. How long I keep details, and your rights
I keep order and invoice records for as long as HMRC requires (usually six years), and other messages only as long as needed. You can ask to see, correct or delete the information I hold about you by emailing hellokirstyhenderson@gmail.com. If you’re unhappy with how I’ve handled your details, you can also contact the Information Commissioner’s Office (ico.org.uk).
Any questions?
I’m happy to talk anything in these terms through before you accept a quote. Email hellokirstyhenderson@gmail.com or call or text 07519 006138.
